STANDARD TERMS OF SALE
INTRODUCTION/GENERAL
These terms of sale apply to all deliveries from the seller to the buyer (customer), unless otherwise agreed in writing. Unless otherwise specifically stipulated in these terms, the Norwegian Purchase Act of 13 May 1988 No. 27 applies.
ORDER/ORDERS AND DELIVERY
Delivery takes place in accordance with further agreements, offers and tenders. etc. When purchasing larger groups of goods such as gas tanks, evaporators, etc., we will send an invoice when we have received a written order. Otherwise, the time of delivery follows the provisions of the Norwegian Purchase Act, so that delivery is deemed to have taken place when the goods are handed over to an independent carrier. When the seller himself is responsible for the delivery, or the customer collects the goods from the seller, delivery takes place upon handover to the customer. Upon delivery, the risk of accidental loss of the item passes to the buyer. If the buyer cannot receive the item/item at the agreed time, storage will be arranged at the buyer's expense and risk. If the seller is to install the item, the buyer is responsible for preparing the installation site for the equipment, including ensuring the necessary connections or the like. If the seller must prepare the installation site without this having been agreed in advance or where the seller must use extra personnel due to structural conditions, this will be at the buyer's expense and risk. Gass Partner Norge AS is not responsible for errors, delays, costs that may arise as a result of our subcontractors' delivery problems or deficiencies in installations for which the customer is responsible. All shipments are at the buyer's risk.
THE GOODS/PRODUCT
All information about the product from the seller's suppliers is indicative and must be checked before ordering. Products change frequently and specifications may therefore differ from what is stated in advertisements, circulars, etc. The information is only binding to the extent that such information is directly and expressly referred to in the agreement between the parties.
PRICES
All prices stated are excl. VAT, environmental fee, shipping and any additional external packaging such as boxes, cartons, etc. Assembly and commissioning (including instruction in operation, etc.) as well as training are not included in the prices stated, but must be agreed separately for each individual delivery. Shipping costs are in addition to the agreed purchase price both when shipped with an independent carrier and when the company's own distribution of goods. The seller can, by agreement, insure the item of sale during transport at the buyer's expense. If, in the period between the offer/order and the time of payment, changes are made to public fees and taxes, environmental fees or there are changes in the relationship between the currency of the seller's supplier and the seller by more than two percentage points, the seller has the right to charge the entire change to the buyer in the event of increased costs, and the buyer has the corresponding right to have the entire change credited to the seller in the event of lower costs. If the buyer wishes to make a change to the agreement, the seller has the right to demand a changed purchase price and, if applicable, a changed timetable. Such changes must be made in writing.
PAYMENT
The contract amount is invoiced upon delivery and is due for payment in accordance with the agreed credit period. Agreed partial deliveries are invoiced upon each individual partial delivery. The credit period is 14 days. For large deliveries, the contract amount is invoiced as follows: 70% of the contract amount + VAT upon conclusion of the purchase contract and 30% upon handover of the item(s). This must be seen as a guideline as the different manufacturers have different conditions. In the event of a delay due to circumstances for which the buyer is responsible (access to premises, necessary installations, etc.), payment shall be made in accordance with the originally envisaged timetable. If the buyer requires a bank guarantee for his payments, the buyer will be charged costs for this. In the event of late payment, the buyer will be charged interest on late payment in accordance with the Act on Interest on Late Payment.
RIGHT OF COMPLAINT
The buyer only has a right of complaint for defects that are due to manufacturing and material defects. The right of complaint lapses 12 months after delivery, cf. 2. The right does not include ordinary maintenance of the product(s), upgrades, etc. During this period, the seller undertakes to carry out free repairs and replacements of defective parts at its main workshop. The right of complaint does not include parts and work that are a result of normal wear and tear, such as gaskets, hoses, bulbs, fuses, etc. Shipping to and from the seller is at the buyer's expense and risk. If such repairs are carried out at the buyer's premises, travel expenses, accommodation, per diem, in addition to travel time spent will be charged based on hourly rates. In the event of delayed delivery due to circumstances on the buyer's part, the right of complaint runs from the day delivery should have taken place. The right of complaint lapses if connections or interventions have been made to the goods without the seller's consent. The same applies if damage occurs as a result of improper or incorrect use, inadequate maintenance, faults in the electricity and water supply or other external influences or if payment has not taken place in accordance with the agreement.
COMPLAINTS PERIOD
Upon receipt, the buyer must thoroughly examine the goods and report any obvious defects immediately and no later than 7 calendar days. Defects that can only be discovered after installation and/or commissioning must be claimed as soon as the defect is discovered. This also applies when the customer later discovers defects in the product that give rise to a complaint.
REPAIR
Repairs after the expiry of the complaint period or for defects that do not fall under the buyer's right to complaint are paid for in full by the buyer. This is an ordinary repair agreement, where the buyer bears all costs, including shipping to and from the seller's workshop, travel costs, etc. For such repairs, the buyer/customer has a 6-month right of complaint for the defect(s) that has been rectified, from the time the goods have been fully repaired and made available to the customer for collection or from the time they have been handed over to an independent carrier for shipment to the customer. The right of complaint lapses if connections or interventions have been made to the goods without the seller's consent. The same applies if damage occurs as a result of improper or incorrect use, inadequate maintenance, faults in the electricity and water supply or other external influences or if payment has not taken place in accordance with the agreement.
COMPENSATION
In the event of breach of this purchase contract, the affected party may claim compensation for documented financial loss according to general principles for compensation in contractual relations with the following limitations:
A. No form of indirect and/or direct loss is covered, such as loss due to operational interruption, loss of use (loss because one cannot use the instrument/equipment), the customer's or 3rd party's working hours or other costs, loss due to the contract with a third party being cancelled or not being properly fulfilled, or damage to anything other than the product.
B. The claim for compensation may not exceed the contract amount (excl. VAT).
SOFTWARE/COMPUTER EQUIPMENT
The buyer is granted the right to use the delivered software for use on the equipment for which it is delivered. The buyer is not entitled to copy this to others in any form. For security purposes, the buyer may make a copy of the delivered software and store it in a safe place. For any standard programs, the terms and conditions provided by the individual program suppliers apply.
SALES Pledging
The seller has a lien (sales pledge) on the items sold as security for its claim to the purchase price plus interest and costs.
CONFIDENTIALITY
The parties shall not allow unauthorized persons to gain access to information regarding the other party's technical facilities, personnel matters, business analyses and calculations, as well as business secrets that the party becomes aware of in connection with the conclusion of the agreement and the execution of the delivery.
RETURN/CANCELATION
Return of purchased equipment can only take place with the written consent of the seller, and at the buyer's risk and expense. Returns of goods with a purchase price of less than NOK 1,000,- excl. VAT or goods with a limited shelf life are not accepted. Returned equipment is credited with a share of the sales price determined by the seller, taking into account lost gross profit and incurred costs, a maximum of 80% of the sales price.
